Pinelopi has significant experience in cross-border ship finance transactions, both ship-secured and unsecured loan financing. She advises leading international banks and shipping companies on innovative financing transactions, workouts, restructurings and refinancing of distressed debt. She also advises on structured finance and syndicated and bilateral facilities and subordination arrangements and financings involving bareboat charters, guarantee facilities, and other types of secured facilities relating to second hand vessels, new buildings, resales and fleet acquisitions.

Pinelopi acts for shipowners in relation to shareholders’ agreements, MOAs, novation agreements, shipbuilding contracts and refund guarantees. She also has considerable experience negotiating and documenting ship sale and purchase transactions involving several jurisdictions worldwide, setting up offshore companies and dealing with vessel registration under various flags. Her expertise extends to representing banks and shipowners on Greek mortgage registration, discharge and transfers.

Pinelopi has over 10 years’ experience of working for international law firms in Piraeus.

Highlight Matters

  • Documenting a loan facility for the purchase of an LNG in the amount of $108m.
  • Documenting a $50m syndicated loan facility for the financing of five bulk carriers delivered to their owners under various flags.
  • Documenting a $30m loan facility for the financing of Scrubbers.
  • Advising on transactions involving the re-financing of three vessels following their acquisition by the borrower from the shipyard for a loan of $61m. Two vessels were registered under Greek flag and the other one under Marshall Islands flag.
  • Drafting Greek law preferred mortgage security and account pledges over accounts located in Greece under loan facilities governed by English law and, where required, registration of such security.
  • Conducting registry, court and company searches in relation to real property and Greek registered vessels at the relevant registries in Greece and assisting various banks with the Greek mortgage's discharge upon repayment or prepayment of loan facilities.
